SỬA ĐỔI, BỔ SUNG MỘT SỐ ĐIỀU CỦA LUẬT ĐẦU TƯ

Căn cứ Hiến pháp nước Cộng hòa Xã hội Chủ nghĩa Việt Nam đã được sửa đổi, bổ sung một số điều theo Nghị quyết số 203/2025/QH15;

Quốc hội ban hành Luật sửa đổi, bổ sung một số điều của Luật Đầu tư số 143/2025/QH15.

Điều 1. Sửa đổi, bổ sung một số điều của Luật Đầu tư

1. Bổ sung một số điểm, khoản của Điều 6 như sau:

a) Bổ sung điểm m vào sau điểm l khoản 1 như sau:

“m) Kinh doanh khí N₂O để sử dụng cho con người qua đường hô hấp, trừ mục đích y tế, công nghệ thực phẩm, kiểm nghiệm, nghiên cứu khoa học và mục đích khác theo quy định của Chính phủ.”;

b) Bổ sung khoản 2a vào sau khoản 2 như sau:

“2a. Chính phủ quy định chi tiết điểm m khoản 1 Điều này.”.

2. Thay thế Phụ lục IV về Danh mục ngành, nghề đầu tư kinh doanh có điều kiện bằng Phụ lục ban hành kèm theo Luật này.

Điều 2. Điều khoản thi hành

1. Luật này có hiệu lực thi hành từ ngày 01 tháng 3 năm 2027, trừ quy định tại khoản 2 Điều này.

2. Khoản 1 Điều 1 và khoản 1 Điều 3 của Luật này có hiệu lực thi hành từ ngày 01 tháng 01 năm 2027.

3. Bộ, cơ quan ngang bộ quy định giải pháp, phương án quản lý thay thế (trong trường hợp cần thiết) đối với ngành, nghề đầu tư kinh doanh có điều kiện tại Phụ lục IV của Luật Đầu tư số 143/2025/QH15 nhưng đã bị bãi bỏ theo quy định của Luật này trước ngày 01 tháng 3 năm 2027.

4. Sửa đổi, bổ sung khoản 1 và khoản 2 Điều 88 của Luật Xây dựng số 135/2025/QH15 như sau:

“1. Cá nhân đảm nhận chức danh trong hoạt động xây dựng phải có chứng chỉ hành nghề hoạt động xây dựng tương ứng theo quy định của Luật này, bao gồm: chủ nhiệm, chủ trì lập quy hoạch đô thị và nông thôn; chủ nhiệm khảo sát xây dựng; chủ nhiệm, chủ trì thiết kế, thẩm tra thiết kế xây dựng; giám sát thi công xây dựng. Chứng chỉ hành nghề được phân thành hạng I, hạng II và hạng III.

2. Cá nhân đảm nhận chức danh giám đốc quản lý dự án đầu tư xây dựng, chỉ huy trưởng công trường phải đáp ứng điều kiện năng lực, kinh nghiệm nghề nghiệp.”.

5. Bãi bỏ khoản 6 Điều 29 của Luật Đường bộ số 35/2024/QH15 đã được sửa đổi, bổ sung một số điều theo Luật số 118/2025/QH15.

Điều 3. Điều khoản chuyển tiếp

1. Hợp đồng kinh doanh khí N₂O để sử dụng cho con người qua đường hô hấp, trừ mục đích y tế, công nghệ thực phẩm, kiểm nghiệm, nghiên cứu khoa học và mục đích khác theo quy định của Chính phủ đã giao kết thì chấm dứt hiệu lực từ ngày 01 tháng 01 năm 2027.

Trong thời hạn tối đa 45 ngày từ ngày 01 tháng 01 năm 2027, các bên tham gia hợp đồng thực hiện thanh lý hợp đồng theo quy định của pháp luật về dân sự và quy định khác của pháp luật có liên quan.

2. Chính phủ quy định xử lý chuyển tiếp đối với hoạt động dịch vụ hỗ trợ cấp thị thực của cơ sở kinh doanh được ủy quyền đã thực hiện trước ngày 01 tháng 3 năm 2027.

3. Đối với các ngành, nghề đầu tư kinh doanh có điều kiện quy định tại Phụ lục IV của Luật Đầu tư số 143/2025/QH15 nhưng đã bị bãi bỏ theo quy định của Luật này thì thực hiện như sau:

a) Tổ chức, cá nhân được hoạt động đầu tư kinh doanh trong các ngành, nghề này mà không cần đáp ứng điều kiện đầu tư kinh doanh;

b) Trường hợp có nhu cầu, tổ chức, cá nhân được tiếp tục sử dụng các loại giấy phép, giấy chứng nhận, chứng chỉ, văn bản xác nhận hoặc văn bản cho phép đầu tư kinh doanh khác đã được cơ quan nhà nước có thẩm quyền cấp đến hết thời hạn của văn bản, giấy tờ đó mà không phải thực hiện thủ tục cấp, điều chỉnh, gia hạn;

c) Trường hợp hồ sơ đề nghị cấp, điều chỉnh, gia hạn các loại giấy phép, giấy chứng nhận, chứng chỉ, văn bản xác nhận hoặc văn bản cho phép đầu tư kinh doanh khác đã được cơ quan nhà nước có thẩm quyền tiếp nhận hợp lệ trước ngày Luật này có hiệu lực thi hành nhưng chưa trả kết quả, cơ quan nhà nước có thẩm quyền thông báo về việc ngừng giải quyết và trả hồ sơ cho cá nhân, tổ chức đã nộp.

Luật này được Quốc hội nước Cộng hòa xã hội chủ nghĩa Việt Nam khóa XVI, Kỳ họp không thường lệ thứ Nhất thông qua ngày 24 tháng 8 năm 2026.

AMENDING AND SUPPLEMENTING CERTAIN ARTICLES OF THE LAW ON INVESTMENT

Pursuant to the Constitution of Socialist Republic of Vietnam amended and supplemented by the Resolution No. 203/2025/QH15;

The National Assembly hereby promulgates the Law amending and supplementing certain Articles of the Law on Investment No. 143/2025/QH15.

Article 1. Amending and supplementing certain Articles of the Law on Investment

1. Certain points and clauses of Article 6 are supplemented as follows:

a) Point m is added after point l of clause 1 as follows:

“m) Trade in N₂O gas for use by human use through the respiratory tract, except for purposes of health care, food technology, testing, scientific research and other purposes as prescribed by the Government.”;

“2a. The Government shall elaborate point m clause 1 of this Article.”.

2. The Appendix IV -  List of conditional business lines is replaced with the Appendix to this Circular.

Article 2. Implementation clause

1. This Law comes into force from March 01, 2027, except the provision set out under clause 2 of this Article.

2. Clause 1 Article 1 and clause 1 Article 3 of this Law comes into force from January 01, 2027.

3. Ministries and ministerial-level agencies shall stipulate alternative management solutions and plans (where necessary) for the conditional business lines specified in Appendix IV to the Law on Investment No. 143/2025/QH15 but repealed as prescribed in this Law, before March 01, 2027.

4. Clauses 1 and 2 Article 88 of the Law on Construction No. 135/2025/QH15 are amended and supplemented as follows:

“1. During their engagement in construction activities, the following title holders must possess corresponding practicing certificates in accordance with provisions of this Law: presidents or chairpersons in charge of formulating urban and rural planning schemes; presidents in charge of construction surveys; presidents or chairpersons in charge of producing and verifying construction designs; construction supervisors. Practicing certificates shall be classified into class I, class II and class III.

2. The title holders including construction investment project managers and site manager must meet competency and experience requirements.”.

Article 3. Transitional clauses

1. Any contract for trade in N₂O gas for use by human use through the respiratory tract, except for purposes of health care, food technology, testing, scientific research and other purposes as prescribed by the Government which has been concluded shall cease to have effect from January 01, 2027.

Within 45 days from January 01, 2027, the parties to the contract shall liquidate the contract in accordance with the civil law and other relevant laws.

2. The Government shall promulgate transitional regulations applicable to providers of visa issuance support services authorized before March 01, 2027.

3. Regarding the conditional business lines specified in Appendix IV to the Law on Investment No. 143/2025/QH15 but repealed as prescribed in this Law, the following provisions shall apply:

a) Organizations and individuals may conduct investment business activities in these lines without having to satisfy the business investment conditions;

b) If they so wish, organizations and individuals may continue to use the licenses, certificates, certificates, written confirmations or other documents permitting business investment which have been issued by competent state agencies until the expiry of such documents without having to carry out procedures for issuance, adjustment or extension thereof;

c) Where an application dossier for issuance, adjustment or extension of a license, certificate, certificate, written confirmation or another document permitting business investment is validly received by a competent state agency before the effective date of this Law but the result has not yet been returned, the competent state agency shall notify the individual or organization that submitted the application dossier of the cessation of processing and return the application dossier to such individual or organization.
